Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Tally Aero, Inc. (“TallyAero,” “we,” “us,” or “our”), a Delaware corporation with its principal office at 3723 Greenville Ave, Ste 44161, Dallas, TX 75206, USA. They govern your access to and use of the TallyAero websites, applications (web, iOS, Android, macOS, and Windows), and related services (collectively, the “Service”). Please read the arbitration provision in Section 18 carefully, because it affects how disputes are resolved.

1. Acceptance of these Terms

By creating an account, requesting an access code, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of a flight school, club, or other organization, you represent that you are authorized to bind that organization, and “you” includes that organization. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old to use the Service, and at least 18 (or the age of majority in your jurisdiction) to enter into a paid plan or accept these Terms on behalf of an organization. The Service is not directed to children under 13, and we do not knowingly collect their personal information.

3. The Service

TallyAero provides a unified aviation platform that may include: a digital pilot logbook and currency tracking; flight planning and an electronic flight bag (EFB); aircraft records and maintenance tracking; flight-school scheduling, billing, dispatch, and training management; a Designated Pilot Examiner (DPE) portal; training and proficiency tools; the “DashTwo” AI assistant; and the “Constellation” safety-analysis feature. Features are offered as described on our website and in the applications, and may be added, changed, or discontinued over time.

Not every feature listed above is available in every release. The current version 1 mobile app is the personal logbook and its training tools. The flight-planning and electronic-flight-bag features, the DashTwo assistant, Constellation, the DPE portal and flight-school management are not included in it.

4. Accounts and security

Access is tied to your email address together with an access code or password. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly at [email protected] of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk.

5. Your content and data

You retain all rights to the data and content you enter into or upload to the Service (“Your Content”), including logbook entries, flight records, documents, and organizational data. You grant us a limited, non-exclusive license to host, store, process, transmit, back up, and display Your Content solely to operate and improve the Service, to provide it to the collaborators and organizations you authorize, and as described in our Privacy Policy. You can export Your Content at any time, and you may request deletion of your account and associated data as described in the Privacy Policy. We do not sell Your Content, and we do not use it to train third-party or foundation AI models (see Section 8).

6. Acceptable use

You agree not to: (a) use the Service to violate any law or regulation, including aviation regulations or the falsification of records; (b) upload content you have no right to upload, or that infringes another’s rights; (c) attempt to gain unauthorized access to the Service, other accounts, or our systems; (d) probe, scan, or test the vulnerability of the Service except under an authorized program; (e) interfere with or disrupt the Service; (f) reverse engineer or scrape the Service except as permitted by law; or (g) use the Service to send spam or to harass others. You are solely responsible for the accuracy and lawfulness of the records you keep in the Service.

7. Third-party services we rely on

To provide the Service we use reputable third-party providers (“Subprocessors”). Your data may be processed by these providers strictly to deliver the Service. The principal providers are:

Google Analytics Usage measurement on the marketing website only, not in the app

Your use of the Service is also subject to the terms of these providers where applicable. The Privacy Policy describes what data each provider processes and where.

8. AI features (DashTwo): informational only

DashTwo and other AI features generate information for educational and planning purposes. They are powered by third-party AI providers (see Section 7) that process your prompts under their own terms. AI output can be incomplete or wrong. It is not legal, medical, financial, or professional aviation advice and is not a substitute for official FAA sources, current charts, an official weather briefing, or the judgment of a qualified airman. Always verify critical information with authoritative sources before relying on it. We do not permit your data to be used to train foundation models; the Constellation feature operates on de-identified, aggregated data only.

9. Aviation-data disclaimer and pilot responsibility

The Service is a supplemental aid, not a certified source of aeronautical information and not a substitute for official flight planning, navigation, or preflight action under 14 CFR 91.103. Data such as weather, NOTAMs, airspace, charts, terrain, traffic, airport information, and performance figures is drawn from third-party and government sources (see Section 7 and the Privacy Policy), may be delayed, incomplete, or inaccurate, and must be independently verified against official FAA and other authoritative sources. TallyAero is not certified avionics, is not approved for navigation, and must not be used as a primary means of navigation or for real-time operational decisions in flight. The pilot in command remains solely responsible for the safe and lawful conduct of every flight. You alone are responsible for the accuracy and completeness of your logbook, currency, and regulatory records.

10. Payments and plans

Some features require a purchase. Student pilots use the logbook free through their private pilot certificate, and safety reporting is free in every case.

We sell two things. An annual subscription, which renews automatically until you cancel it, and a one-time lifetime purchase, which does not renew and carries no further payment ever. Buying the lifetime version does not cancel a subscription you already have; if you hold both, cancel the subscription yourself so you are not charged again.

All purchases are made through the Apple App Store or Google Play and are governed by those stores' terms, including their refund policies. Manage or cancel a subscription in the store you bought it from, not here: we cannot cancel or refund a store purchase on your behalf. Subscription price and renewal terms are shown at the point of purchase. Except where required by law or expressly stated, payments are non-refundable, and we may change pricing prospectively with notice.

11. Service changes and availability

The Service continues to evolve. It may contain errors, may change, and may have limited availability. Features described as planned may not ship. We provide the Service “as is” (see Section 14).

12. Intellectual property

The Service, including its software, design, text, and trademarks (including “TallyAero,” “DashTwo,” and “Constellation”), is owned by us or our licensors and is protected by intellectual-property laws. These Terms grant you a limited, revocable, non-transferable license to use the Service; they do not transfer any of our intellectual property to you. Certain features are the subject of pending patent applications.

13. Third-party and government data

The Service incorporates data from public and third-party sources, including the FAA (registry, airmen, NOTAMs, charts, NASR, TFRs), NOAA and aviationweather.gov (weather, space weather), Open-Meteo, airplanes.live (ADS-B), OpenStreetMap/Nominatim, and others. Such data is provided by those sources subject to their terms and is used for informational purposes. TallyAero does not warrant its accuracy, timeliness, or fitness for any purpose.

14. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ITS DATA WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALLYAERO AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR (WITHOUT LIMITATION) ANY MATTER ARISING FROM RELIANCE ON THE SERVICE FOR AVIATION, NAVIGATION, OR SAFETY-OF-FLIGHT DECISIONS. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (b) US $100. These limits are an essential basis of the bargain.

16. Indemnification

You will defend, indemnify, and hold harmless TallyAero from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, Your Content, or your violation of these Terms or of applicable law.

17. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. On termination, your license to use the Service ends; you may export Your Content beforehand, and we will handle remaining data as described in the Privacy Policy. Sections that by their nature should survive (including 5, 8, 9, and 12–18) survive termination.

18. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Please read this section carefully.

Binding arbitration. Except as provided below, you and TallyAero agree to resolve any dispute arising out of or relating to the Service or these Terms through final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The seat of arbitration is Delaware, and the arbitration may proceed by video or telephone where practicable.

Class-action waiver. Disputes will be arbitrated only on an individual basis. You and TallyAero waive any right to bring or participate in a class, collective, consolidated, or representative action. If this waiver is found unenforceable, the arbitration provision (except this waiver) is void for that dispute.

Carve-outs. Either party may (a) bring an individual claim in small-claims court, and (b) seek injunctive or equitable relief in court to protect intellectual-property or confidentiality rights. If the arbitration provision does not apply, the state and federal courts located in Delaware have exclusive jurisdiction, and you consent to their jurisdiction and venue.

19. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in the Service) and update the “Last updated” date. Your continued use after the changes take effect constitutes acceptance.
